CONTENT LICENSING AGREEMENT

The picture sets referred to in this agreement are licensed by DSM entertainment, as distributed for Phil Marshall who does indeed retain ownership of the pictures. In effect, the legal documents and model releases are held by Phil Marshall: 40 Hazeltine Ct,, Maroochydore, Queensland, 4558, Australia. In the following agreement, the party who is receiving the right to use the licensed property will be referred to as "licensee." The parties agree as follows:

1. Phil Marshall owns/distributes these images in accordance with this agreement, Phil Marshall grants the licensee a non-exclusive website license to display and use all images for online user downloading from all domains owned/operated by the licensee. Phil Marshall retains title and complete ownership of these images. The licensee agrees not to sell or distribute the these images on diskettes, CD ROMS or any other medium. The licensee is not allowed to trade any of the portion of the these images to any other sites for any other service or product.

2. These images may be displayed and used within all domains (one of which is provided by the licensee at the bottom of this agreement) which are owned and operated by the licensee. These images can be used for HTML design, logo design and banner design by the licensee at no extra cost. The Licensee is allowed to resize, rename or change the format of the images within all sets. No portion of these images can be posted in newsgroups. All pictures, video or text within must be viewed through the licensee's websites.

3. The images are licensed and no models are under the age of 18 at the time of photography. Due to the presence of no nudity this form of entertainment is entirely acceptable. Phil Marshall retains the model releases, and will produce any model release for any pictures within the sets in the event that any set is challenged.

4. This agreement shall be binding on any successors of the parties. The licensee does not have the right to assign its interests in this agreement to any other party, unless the prior written consent is obtained by Phil Marshall, an administrative fee will apply. In the event of bankruptcy by the licensee, this license becomes terminated.

5. This agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement requires that licensee must e-mail must complete the online license register form and receive a license certification number provided by DSM entertainment in order for this agreement to be binding. All information provided to DSM entertainment can be verified and must be accurate. This agreement supersedes any prior written or oral agreements between the parties. Licensee agrees to notify DSM entertainment of all changes to the personal information provided below via e-mail.

6. This agreement may be modified or amended by DSM entertainment and the amendment will be sent to the licensee in writing.

7. APPLICABLE LAW. This agreement shall be governed by the laws of the United States. The Licensee holds Phil Marshall and DSM entertainment harmless for any legal issues relating the distribution of the material within any series as it relates to the community standards and adult entertainment laws as set forth in the city/county, state or country of the Licensee and his or her websites. Phil Marshall and DSM entertainment does not warrant this material to be acceptable in licensee's community, and the licensee has assumed full responsibility for determining what images, video clips or stories are suitable for distribution. Phil Marshall warrants that these images are fully copyrighted, and the licensee warrants these images are free of intellectual property violations. All images, video clips and stories within this site are in compliance with United States Federal Law.

8. Additional licensing information can be viewed here. Teen Planet Candid is not resposible for any damages either physical or emotional for veiwing images contained within the site. 9. All graphics, coding, site layout, and site design, found within Teen Planet Candid are property of DSM entertainment. Using these graphics without the express written or oral permission of DSM entertainment will be a direct violation of copyright and DSM entertainment will be forced to take legal action.

10. The majority of images found within this site are licensed to/copyrighted by DSM entertainment. Redistributing or reproducing any of these images without the proper written or oral consent from Teen Planet Candid will result in legal action.

11. DSM entertainment is in no way held responsible for user submitted images in conditions in any other agreement whether oral or written. If amateur pictures have been submitted by and from users of this site it is for the purpose of entertainment only and used with express written or oral permission. These images are not to be redistributed or reproduced in any way. To protect the privacy and rights of those involved DSM entertainment can and will take legal action. Every effort is taken to ensure that these pictures do not breach copyrights, if you find any images on our site that breach your copyright please email the webmaster for immediate removal. Teen Planet Candid does not claim to own any user submitted images.

12. By entering Teen Planet Candid you are attesting to the following:

I am not accessing this material to use against this site operator, nor any person or group whomsoever, in any conceivable manner.

I will not re-distribute this material to anyone, nor will I permit any minor to see this material, or any other person who might find such material offensive.

I subscribe to the principles of the First Amendment of the Constitution of the United States of America, which holds that free adults have the right to decide for themselves what they will read and view without interference from any governmental organization.

I believe that such material does not offend the standards of the community within which I live.

Neither this website nor any element thereof, including without limitation, text, graphics, images or other materials, may be copied, repurposed, uploaded, posted, transmitted, or redistributed, except that you may download one copy of such materials to your individual computer for your personal, non-commercial use only (which also excludes any use by any governmental, educational, charitable, or other institutional use that is not strictly a personal use by you), provided that all copyright and other proprietary notices appearing on such materials must be preserved without alteration, modification, or obfuscation.

If you know there is an infringement of copyright, if you find a personal picture which you have not authorized to be published, contact us and we will remove the picture without hesitation. Harassment over removing images can and will only invoke a harassment lawsuit that we will win.

As professionals, DSM entertainment will bend over backwards to work with other webmasters, not against them. Teen Planet Candid makes all efforts to avoid ever using images that are known to be copyrighted exclusively to another individual or business. DSM entertainment is also the direct owner of various adult websites. Hence, DSM entertainment understands the frustrations of unauthorized duplication of images and will do anything to avoid this happening.

All rights, titles, and interests in and to this website are owned by DSM entertainment, its successors, assigns, webmasters, and licensees. The website is protected by United States copyright laws and international treaty provisions, including, without limitation, the Berne Convention. All trademarks, service marks, and trade names are proprietary to successors, assigns, webmasters, and licensees. All rights not expressly licensed hereunder are reserved by DSM entertainment.

In no event will Teen Planet Candid, its successors, assigns, webmasters, or licensees be liable for any damages of any kind, including, but not limited to, compensatory damages, lost profits, lost data, or any form of special, incidental, indirect, consequential or punitive damages of any kind whether based on breach of contract or warranty, tort (including negligence), product liability or otherwise, even if Teen Planet Candid is informed in advance of the possibility of such damages.

This Agreement will be governed by and construed in accordance with the laws of the state applicable to it, without regard to your actual state or country of residence. Any waiver, amendment or other modification of any provision of this agreement will be effective only if in writing and signed by DSM entertainment. If for any reason a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable, the remainder of this Agreement will continue in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.

13. Entering Teen Planet Candid's member section without direct permission from DSM entertainment or the CCBill billing company is illegal and is considered to be a form of accessing an authorized area without permission. This is basically a form of hacking and legal charges can and will be pressed.
